These Terms govern your use of the Smart Solutions Electronic Portal (eSolGate) website and any of our platforms, applications and services (the "Services"). By using the Services you agree to these Terms in full; if you do not agree, please stop using them.

1. Scope

These Terms apply to: (a) the corporate website; (b) the platforms and applications we operate, which may connect users with independent service providers; and (c) the software-development and technology services we provide to clients. Platform- or project-specific terms may apply and are read together with these Terms.

2. Nature of Our Services

  • Technical intermediary: on platforms that connect users with independent providers, we supply the technology only. We are not a party to the relationship between the user and the provider, do not provide the actual service, and do not warrant its quality or fitness. The provider is fully responsible for its service.
  • Development services: we provide development and technology solutions under a separate scope of work and agreement with the client.

3. Eligibility

You must be 18 or older with legal capacity, provide accurate and current information, and use the Services only for lawful purposes.

4. Accounts and Responsibilities

You are responsible for keeping your credentials confidential and for all activity under your account, and you must notify us immediately of any unauthorised use. We may suspend or close any account that violates these Terms.

5. Transactions and Payment

Where payments are available within our platforms, they are processed via licensed payment gateways, and disclosed fees or commissions may apply. The user is responsible for the accuracy of payment details; the provider is responsible for delivering the paid service.

6. Cancellation and Refunds

Booking, cancellation and refund policies are governed by each platform's or provider's policy as presented at checkout. We do not guarantee refunds contrary to those policies or applicable law.

7. Prohibited Uses

You may not: violate laws; impersonate others; post unlawful or misleading content; attempt to hack or circumvent our systems; misuse the Services or harm others; harvest user data without authorisation; or attempt off-platform transactions to evade fees.

8. Intellectual Property

All rights in the website, platforms, trademarks, designs and software are owned by or licensed to the Company and may not be copied or used without prior written permission. Content you upload remains yours, and you grant us the licence needed to operate the Service.

9. Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind, express or implied, including fitness for a particular purpose, uninterrupted operation, or error-free performance. We do not guarantee any specific commercial results.

10. Limitation of Liability

To the maximum extent permitted by law, the Company is not liable for indirect, consequential or incidental damages, or loss of data or profits, and is not responsible for the acts or services of independent providers or third parties. In all cases our total liability shall not exceed the amount you actually paid the Company in the three months preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify and defend the Company against any claims, losses or expenses (including legal fees) arising from your breach of these Terms, the law, or the rights of others.

12. Client Development Services

  • Each project's scope, deliverables, timeline and fees are defined in a separate agreement or quotation.
  • Payments fall due as agreed and may be milestone-based; we are not obliged to start before the agreed payment is received.
  • Ownership of agreed deliverables transfers to the client upon full payment, while we retain rights to our generic tools, components and know-how.
  • We do not guarantee specific commercial outcomes; some outputs depend on data and requirements provided by the client and their accuracy.
  • We keep client information confidential, and the client does the same for ours.

13. Suspension and Termination

We may suspend or terminate access to the Services, in whole or in part, upon breach of these Terms or for security or legal reasons, without prejudice to our legal rights.

14. Force Majeure

We are not liable for any failure or delay caused by circumstances beyond our reasonable control (network failures, provider outages, disasters, governmental decisions, etc.).

15. Governing Law and Disputes

These Terms are governed by the laws of the Kingdom of Saudi Arabia, and the competent courts in the Kingdom have jurisdiction over any dispute, with amicable resolution sought first.

16. Changes

We may amend these Terms; amendments take effect once published on this page. Continued use after publication constitutes acceptance.
